01Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of the website at getelyra.xyz, the Elyra application at try.getelyra.xyz (including the version distributed through the Solana dApp Store and any mobile or desktop build), the Elyra Telegram companion, our documentation and any related features (together, the “Services”), provided by Elyra (“Elyra”, “we”, “us”, “our”).
By signing in, connecting a wallet or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organisation, you confirm that you have authority to bind it, and “you” includes that organisation.
02What Elyra is
Elyra is a multi-agent orchestration layer for on-chain markets. It brings together market, on-chain, derivatives, social, news and portfolio data. Its AI agents analyse that data, form strategies and risk boundaries, compare venues, preview actions, and route the transactions you authorise to third-party protocols. The Services include, among others:
- research, scanning and signal monitoring;
- spot swaps on Solana (for example routed through Jupiter), perpetual futures (for example on Hyperliquid), conditional orders and cross-chain bridging;
- deploying assets to yield and liquidity protocols (for example Kamino, Meteora and Sanctum);
- analysis of prediction markets (for example Polymarket and DFlow);
- alerts, watches, take-profit and stop-loss monitoring, and daily briefings, in the app and through Telegram;
- portfolio monitoring, profit-and-loss reporting and decision traces.
Elyra is not a broker, dealer, exchange, investment adviser, portfolio manager, fund, bank or custodian. We do not hold or pool user funds, act as a counterparty to your trades, or manage assets on a discretionary basis. All trades settle on third-party protocols and public blockchains.
03Eligibility
To use the Services you must:
- be at least 18 years old and the age of majority where you live, and able to form a binding contract;
- not be the subject of sanctions administered by the United Nations, India, the United States (including OFAC), the European Union or the United Kingdom, or be owned or controlled by, or acting for, such a person;
- not be located in, resident in or organised under the laws of a comprehensively sanctioned country or region, or any jurisdiction where using the Services, or a particular feature, is prohibited;
- not have been previously suspended or removed from the Services.
Some features, especially perpetual futures, leveraged products and prediction markets, are restricted in certain jurisdictions by law or by the venue that offers them. You are responsible for making sure your use is legal where you are. You must not use a VPN or other means to get around geographic restrictions. We may restrict features or access by location at our discretion.
04Accounts and sign-in
You sign in through our authentication provider, Privy, using email, Google, a phone number or another method we offer. You agree to give accurate information and to keep your sign-in methods secure. You are responsible for all activity that happens through your account and wallets. Tell us at ayushkmrjha@gmail.com straight away if you suspect unauthorised access.
Free accounts are subject to usage limits, such as a set number of assistant prompts in each 24-hour window. Limits are shown in the app and may change.
05Wallets and custody
Embedded wallets. If you do not connect a wallet of your own, a self-custodial wallet is created for you through Privy. Its private key is secured by Privy’s infrastructure and never exposed to Elyra. Your use of that wallet is also subject to Privy’s terms. Where available, you can export the key and use the wallet outside Elyra.
External wallets. You may connect an external wallet (for example Phantom, Solflare or a wallet via the Solana Mobile Wallet Adapter). That wallet’s provider, not Elyra, is responsible for it.
In all cases, you control your assets. Elyra cannot move funds without an authorisation you have given, and cannot recover, reverse, freeze or refund transactions. If you lose access to your sign-in methods or keys, we may be unable to help you regain access to your assets. Only send supported assets on supported networks to your wallet address. Assets sent on the wrong network may be lost.
06Previews, confirmation and autonomous execution
Confirmed actions
Before a trade, deposit, bridge or other transaction, Elyra shows a preview with details such as the pair, size, estimated output, route, venue, price impact and fees. Nothing in this category is submitted until you explicitly confirm it in the app or through Telegram. Estimates are not guarantees: the final result can differ because of price movement, slippage, liquidity, network conditions or venue behaviour. Once a transaction is submitted to a blockchain, it generally cannot be cancelled or reversed.
Autonomous actions you enable
Some features act without a fresh confirmation each time, such as take-profit and stop-loss orders handled by the AUTO module. When you enable them, you authorise Elyra to prepare and submit the specific transactions those features describe, on your behalf, through the permission mechanism provided by your wallet infrastructure, within the limits that apply:
- a portfolio exposure cap (currently 5% of total portfolio value per position) that neither agent confidence nor manual instructions can override;
- only a small share (currently under 5%) of your total portfolio exposure may be subject to fully autonomous execution;
- circuit breakers that pause autonomous execution after repeated losses until you restart it;
- any further limits you set in your risk settings.
You can turn off autonomous features, cancel pending orders and revoke these permissions at any time. Autonomous execution may pause if your session expires or your wallet disconnects, and triggered orders may run at prices worse than the trigger price, or not run at all, because of market gaps, liquidity, network congestion, oracle or venue failures, or service interruptions. We may change these limits to protect users, and will show the current limits in the app.
07No financial advice; AI limitations
All content from the Services, including research, signals, scores, strategies, sizing, risk boundaries, briefings and anything generated by AI, is for information only. It is not investment, financial, trading, legal, tax or accounting advice, and it is not a recommendation or solicitation to buy, sell or hold any asset or to use any protocol. Elyra does not take your individual financial situation into account.
AI models can be wrong. They can produce information that is inaccurate, incomplete, out of date or invented (“hallucinations”), misread your instructions, or rely on faulty source data. Market data from third parties can be delayed or wrong. Past performance, backtests, test results and published research do not predict future results. Check important information independently, review every preview carefully, and consult a qualified professional before making financial decisions. You alone are responsible for your decisions and their results.
08Third-party protocols and services
The Services interact with protocols, venues, wallets, bridges, data providers and networks that Elyra does not own or control, including Solana, Hyperliquid, Jupiter, Kamino, Meteora, Sanctum, Polymarket, DFlow, Privy and Telegram. Your use of them is governed by their terms, fees and policies, and you are responsible for accepting and complying with those.
Showing a protocol, asset or market in Elyra is not an endorsement. We are not responsible for the availability, security, performance, pricing, listings, liquidations or loss of funds on any third-party service, including losses from exploits, insolvency, governance actions or changes to smart contracts.
09Risks you accept
Using digital assets and decentralised protocols carries significant risk. You may lose some or all of your funds. By using the Services you confirm that you understand and accept these risks, including:
- Market risk: digital asset prices are highly volatile and can fall to zero.
- Leverage and liquidation: perpetual futures and borrowing can lose more than your initial margin and be liquidated quickly, including during sharp moves or funding changes.
- Smart-contract and protocol risk: bugs, exploits, oracle manipulation, governance changes and economic attacks can cause losses.
- Liquidity and execution risk: slippage, price impact, failed or partially filled transactions, MEV and front-running.
- Network risk: congestion, outages, forks, fee spikes and reorganisations.
- Bridging risk: cross-chain transfers can be delayed, stuck or lost.
- Stablecoin and yield risk: stablecoins can lose their peg; yields are variable and can be negative; impermanent loss applies to liquidity positions.
- Prediction markets: event outcomes are uncertain, resolution can be disputed, and access is restricted in many jurisdictions.
- Automation and AI risk: agents, triggers and automated orders may behave unexpectedly or fail to run.
- Regulatory risk: laws may change in ways that affect the value, legality or availability of assets or features.
- Security risk: phishing, malware, SIM-swap and compromised devices or accounts.
Only use funds you can afford to lose.
10Fees and plans
Elyra currently offers a free tier with usage limits and may introduce paid plans or service fees. Any fee charged by Elyra will be shown to you, in the app or in the transaction preview, before you agree to it. Paid plans will be subject to the price and billing terms shown at purchase.
You are responsible for all network (gas) fees, priority fees, venue and protocol fees, funding payments, borrowing costs, bridge fees and slippage connected with your transactions. These are paid to third parties, are outside our control, and are not refundable by Elyra.
11Acceptable use
You agree not to, and not to help anyone else to:
- break any law or regulation, including laws on sanctions, money laundering, terrorist financing, securities, commodities, derivatives, gambling or tax;
- use the Services with funds from or for illegal activity, or to hide the source of funds;
- manipulate markets, including wash trading, spoofing, pump-and-dump schemes or front-running other users;
- get around geographic restrictions, usage limits, risk limits or security measures;
- access the Services with bots, scrapers or automated scripts other than through interfaces we provide or expressly allow;
- attack, overload, probe or disrupt the Services, including by introducing malware;
- reverse engineer, decompile or copy the Services or use them to build a competing product, except where the law expressly allows;
- prompt-inject, jailbreak or otherwise manipulate our agents to bypass safeguards, reach other users’ data, or extract confidential system instructions;
- impersonate any person, or misrepresent your connection to Elyra;
- submit content that infringes others’ rights or is unlawful, harmful, abusive or deceptive.
You may report security vulnerabilities responsibly to ayushkmrjha@gmail.com. Do not exploit or disclose them publicly before we have had a reasonable chance to fix them.
12Taxes
You are solely responsible for working out, reporting and paying any taxes on your transactions and use of the Services. Profit-and-loss reports in Elyra are for convenience and are not tax documents.
13Intellectual property and your content
The Services, including our software, agents, models, designs, the Elyra name, logo and brand, and all related content, belong to Elyra or its licensors and are protected by intellectual property laws. Elyra’s design is the subject of a patent filing. Subject to these Terms, we give you a limited, personal, revocable, non-exclusive, non-transferable licence to use the Services for your own purposes. Materials we publish under a separate open licence, such as our brand kit, are governed by that licence.
You keep ownership of the prompts and other content you submit (“Your Content”). You give us a worldwide, royalty-free licence to host, process, transmit and display Your Content to provide, secure and improve the Services, as described in our Privacy Policy. You confirm that you have the rights needed to submit Your Content. As between you and Elyra, and to the extent permitted by law, you may use output generated for you, subject to these Terms and the rights of others. Output may be similar or identical to output generated for other users.
If you send us feedback or suggestions, we may use them without restriction or compensation to you.
14Solana dApp Store and mobile distribution
If you obtain Elyra through the Solana dApp Store or another app store or marketplace:
- these Terms are between you and Elyra only. Solana Mobile, the Solana Foundation and the store operator are not parties to them and are not responsible for the app, its content, maintenance, support or any claims about it;
- you must also follow the terms and policies of that store and of your device;
- Elyra, not the store operator, is responsible for addressing product claims, legal and regulatory compliance claims, and intellectual property claims about the app, as far as these Terms require;
- app updates may be required to keep using the Services, and some features may differ between the web and mobile versions.
15Availability and changes
Elyra is under active development. Features may be labelled beta, experimental or preview, and may be changed, limited or removed. We may modify, suspend or discontinue any part of the Services at any time, including supported assets, chains, venues and integrations. We do not promise that the Services will be uninterrupted, timely or error-free, and we may perform maintenance that makes them temporarily unavailable. Where we discontinue a feature that affects open positions or automations, we will try to give reasonable notice so you can manage them yourself.
16Suspension and termination
You may stop using the Services and delete your account at any time.
We may suspend or end your access, or disable features such as autonomous execution, if we reasonably believe you have broken these Terms, your use creates risk or legal exposure for Elyra or others, we are required to by law, or your account shows signs of compromise. Because Elyra does not hold your keys, ending your access to the Services does not stop you accessing your wallet and assets through other tools. Sections that by their nature should survive termination, including those on risks, disclaimers, limitation of liability, indemnity and disputes, will survive.
17Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or secure operation. We do not warrant that any AI output, data, signal, preview or estimate is accurate, complete or reliable, that any transaction will be executed at a particular price or at all, or that the Services are free of viruses or other harmful components.
18Limitation of liability
To the maximum extent permitted by law, Elyra and its founders, team members, affiliates, contributors and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, trading gains, data, goodwill or digital assets, arising out of or relating to the Services, including losses from market movements, liquidations, AI output, autonomous or triggered execution, third-party protocols, wallets, bridges or networks, or unauthorised access to your account, even if we were advised of the possibility.
Our total liability for all claims relating to the Services is limited to the greater of (a) the fees you paid to Elyra in the twelve months before the event giving rise to the claim and (b) USD 100.
Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
19Indemnity
You agree to indemnify and hold harmless Elyra and its founders, team members and affiliates from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your use of the Services, Your Content, your breach of these Terms, or your violation of any law or the rights of a third party.
20Governing law and disputes
These Terms are governed by the laws of India, without regard to its conflict-of-law rules. Before starting any formal proceeding, you agree to contact us at ayushkmrjha@gmail.com and try in good faith to resolve the dispute informally for at least 30 days.
If the dispute is not resolved, it will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration will be New Delhi, India, and the proceedings will be in English. Subject to that, the courts at New Delhi have exclusive jurisdiction. Either party may seek urgent interim relief from a competent court. To the extent permitted by law, claims must be brought individually, not as part of a class or representative action.
If you are a consumer in a country whose laws give you rights that cannot be waived by contract, nothing in this section removes those rights.
21Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and change the date at the top. If a change is material, we will notify you in the app or by email before it takes effect. Continuing to use the Services after the effective date means you accept the updated Terms. If you do not agree, stop using the Services.
